Terms and Conditions

1. Introduction

Welcome to Slidenote ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Slidenote website located at slidenote.app, our mobile applications, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

2. Definitions

  • "Account" means the account you create to access and use the Service.
  • "Content" means any text, images, presentations, slides, feedback, data, or other materials uploaded, submitted, or displayed through the Service.
  • "Presenter" means a user who uploads presentations and manages live sessions through the Service.
  • "Audience Member" means a user who joins a presentation session using an access code to view slides and provide feedback.
  • "Session" means a live presentation event created by a Presenter and joined by Audience Members.

3. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent or guardian's consent to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To access certain features of the Service, you must create an Account. When creating an Account, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your Account information to keep it accurate and complete.
  • Maintain the security and confidentiality of your login credentials.
  • Accept responsibility for all activities that occur under your Account.
  • Notify us immediately of any unauthorized use of your Account.

We reserve the right to suspend or terminate your Account if any information provided is found to be inaccurate, incomplete, or fraudulent.

5. Use of the Service

5.1 Permitted Use

You may use the Service for lawful purposes and in accordance with these Terms. Slidenote grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service.

5.2 Prohibited Conduct

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Upload, share, or distribute Content that is harmful, offensive, defamatory, or infringes on the rights of others.
  • Attempt to gain unauthorized access to any part of the Service, other users' Accounts, or any systems or networks connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated means (bots, scrapers, crawlers) to access or interact with the Service without our prior written consent.
  • Reverse engineer, decompile, or disassemble any portion of the Service.
  • Use the Service to send spam, unsolicited messages, or conduct phishing activities.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

6. Content

6.1 Your Content

You retain ownership of all Content you upload or submit through the Service. By uploading Content, you grant Slidenote a worldwide, non-exclusive, royalty-free license to use, store, display, and transmit your Content solely for the purpose of operating and providing the Service.

6.2 Feedback Data

When Audience Members provide feedback during Sessions (such as "Helpful," "Insightful," "Unclear," or "Too Fast" reactions), this data is collected and made available to the Presenter. By participating in a Session, Audience Members consent to the collection and sharing of their feedback data with the Presenter.

6.3 Content Responsibility

You are solely responsible for the Content you upload, share, or display through the Service. We do not endorse, verify, or assume liability for any Content posted by users.

6.4 Content Removal

We reserve the right to remove any Content that violates these Terms or that we determine, in our sole discretion, is objectionable, without prior notice.

7. Presentations and Sessions

Presenters are responsible for managing their Sessions and the Content shared within them. Access codes generated for Sessions are intended for distribution by the Presenter to their intended audience. Slidenote is not responsible for unauthorized access to Sessions resulting from the sharing of access codes.

We do not guarantee the availability, uptime, or performance of the Service during any Session. While we strive to provide a reliable experience, temporary interruptions may occur.

8. Intellectual Property

The Service, including its design, features, functionality, logos, trademarks, and all associated intellectual property, is owned by Slidenote and is protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology without our prior written consent.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

10. Third-Party Services

The Service may integrate with or contain links to third-party websites, services, or applications. We are not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

11. Fees and Payment

Certain features of the Service may require payment. If you choose to use paid features, you agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise stated or required by applicable law.

We reserve the right to change our pricing at any time. Any price changes will be communicated to you in advance and will not affect your current billing period.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Service will immediately cease.
  • We may delete your Account and any associated Content.
  • Provisions of these Terms that by their nature should survive termination will remain in effect.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. You use the Service at your own risk.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SLIDENOTE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify, defend, and hold harmless Slidenote and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your Content.
  • Your violation of any rights of a third party.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located within the jurisdiction of our principal place of business.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, providing additional notice (such as via email or an in-app notification).

Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Slidenote regarding your use of the Service and supersede all prior agreements and understandings.
